PizzaBox AI - Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the PizzaBox AI platform and related services.

CloudBrands, Inc., doing business as PizzaBox or PizzaBox AI ("PizzaBox," "we," "us," or "our"), provides a subscription management, billing, and redemption platform for restaurants.

By accessing or using the PizzaBox AI platform, website, APIs, or services (collectively, the "Platform" or "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Platform Overview

PizzaBox AI is a software-as-a-service (SaaS) platform that enables participating restaurants ("Restaurants") to create, sell, manage, and analyze prepaid food and beverage subscription programs.

Through the Platform, Restaurants may:

• Design and launch custom subscription offers
• Sell subscriptions directly to customers online
• Send automated reminders to encourage redemption
• Track subscribers, redemptions, visits, and revenue in a centralized dashboard
• Support multiple order intake and redemption workflows

PizzaBox provides technology and infrastructure only. PizzaBox does not prepare, sell, deliver, or fulfill food or beverages. All food and beverage products are sold and fulfilled solely by Restaurants and, where applicable, third-party delivery providers engaged by the Restaurant.

2. Parties and User Types

Restaurants

Restaurants use the Platform to create and manage subscription programs, define redemption rules, set pricing, and fulfill customer orders.

Customers

Customers are individuals who purchase subscriptions directly from Restaurants. The purchase, fulfillment, redemption, delivery, and customer service obligations are strictly between the Customer and the Restaurant.

Third-Party Delivery Providers

Some Restaurants may choose to fulfill subscription redemptions or upsell orders using third-party delivery providers, including delivery marketplaces, in-house couriers, or logistics partners. PizzaBox is not affiliated with, does not control, and is not responsible for any third-party delivery provider.

PizzaBox is not a party to and bears no responsibility for:

• Food preparation or quality
• Fulfillment or delivery timing
• Delivery fees
• Customer disputes involving Restaurants or third-party delivery providers

3. Restaurant Pricing and Fees

Monthly Platform Fees

Pricing is based on total usage across a Restaurant's business and is not charged per location.

• 1-3 stores: $149 per month
• 4-9 stores: $249 per month
• 10+ stores: Custom pricing

Setup Fees

• 1-3 stores: $149 one-time setup fee
• 4-9 stores: $249 one-time setup fee
• 10+ stores: Custom setup

Subscriber Fees

Per-subscriber fees may apply based on subscriber volume tiers and will be disclosed during onboarding or in a written order form.

Payment Processing

All payments are processed by third-party payment processors (e.g., Stripe). Processing fees (typically 3-4%) apply in addition to PizzaBox fees and are non-refundable. PizzaBox may update pricing with reasonable advance notice.

4. Subscription Models and Flexibility

PizzaBox is flexible by design. Restaurants control:

• What is included in a subscription
• How often subscribers can redeem
• Pricing, duration, and commitment terms
• Guardrails and redemption limits

Supported subscription models include, but are not limited to:

• Daily Slice Pass
• Weekly Pizza Pass
• Hybrid Value Models (fixed items plus ongoing perks or discounts)
• Prepaid Bundles (3-, 6-, or 12-month plans)
• Subscription Gift Cards
• Fundraising Subscriptions with community partners

Restaurants are solely responsible for ensuring subscription offerings comply with applicable consumer protection, subscription, and promotional laws.

5. Redemption and Order Fulfillment

PizzaBox supports multiple redemption and order intake workflows. Restaurants may choose the setup that best fits their operations.

Redemption Methods May Include:

• SMS or email redemption codes
• A fully white-labeled, branded subscription app provided by PizzaBox
• Integration into the Restaurant's existing mobile app
• Other digital redemption methods supported by the Platform

Order Intake Options May Include:

• Integration with the Restaurant's existing online ordering system or POS
• A standalone subscription ordering storefront provided by PizzaBox
• Separate subscriber-only order flows distinct from standard orders

The PizzaBox redemption storefront is optional and is one of several supported fulfillment methods. Restaurants remain fully responsible for order acceptance, preparation, fulfillment, delivery, and customer service.

6. Customer Payments and Refunds

Customers prepay Restaurants through the Platform.

• Refund, cancellation, and dispute policies are determined solely by the Restaurant
• PizzaBox does not issue refunds for food or beverage subscriptions
• Platform fees, setup fees, subscriber fees, and payment processing fees are non-refundable

PizzaBox does not store customer credit card information.

7. Acceptable Use

Users agree not to:

• Use the Platform unlawfully or fraudulently
• Misrepresent a Restaurant or subscription offering
• Attempt to access non-public systems or data
• Reverse engineer, copy, or resell the Platform
• Interfere with Platform security or performance

PizzaBox may suspend or terminate accounts that violate these Terms.

8. Data and Privacy

Restaurants retain ownership of their customer data. PizzaBox processes data solely to provide the Services. PizzaBox may use aggregated and anonymized data for analytics, benchmarking, and product improvement. Personal data is handled in accordance with PizzaBox's Privacy Policy.

9. Intellectual Property

PizzaBox owns all rights, title, and interest in the Platform, software, APIs, branding, and documentation. Restaurants retain ownership of their trademarks, menus, and content. No rights are granted except as expressly stated in these Terms.

10. Service Availability and Beta Features

The Platform is provided "as is" and "as available." PizzaBox does not guarantee uninterrupted or error-free operation. Features may change, be added, removed, or offered as beta or experimental features without warranty.

11. Disclaimer of Warranties

To the maximum extent permitted by law, PizzaBox disclaims all warranties, express or implied. PizzaBox does not guarantee subscriber behavior, redemption frequency, customer retention, or revenue outcomes. PizzaBox is not responsible for food quality, safety, fulfillment, or customer satisfaction.

12. Limitation of Liability

To the maximum extent permitted by law:

• PizzaBox is not liable for indirect, incidental, consequential, or punitive damages
• PizzaBox is not liable for failures or delays caused by third-party delivery providers, POS systems, messaging services, or external integrations
• Total liability shall not exceed the fees paid to PizzaBox in the preceding twelve (12) months

13. Indemnification

Users agree to indemnify and hold harmless PizzaBox from claims arising from:

• Subscription offerings and promotions
• Food preparation, fulfillment, or delivery
• Customer disputes
• Violations of law or misuse of the Platform

14. Term and Termination

Either party may terminate these Terms with written notice. Outstanding fees remain payable upon termination. Restaurants must continue to honor active customer subscriptions unless otherwise resolved directly with Customers.

15. Force Majeure

PizzaBox is not liable for failures or delays caused by events beyond reasonable control, including outages, natural disasters, labor disputes, or government actions.

16. Assignment

Users may not assign these Terms without PizzaBox's consent. PizzaBox may assign these Terms in connection with a merger, acquisition, or sale of assets.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, unless otherwise required by law.

18. Changes to Terms

PizzaBox may modify these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
